SOWERBY BRIDGE FIRE AND WATER: PROPOSED CHANGES TO THE ARTICLES OF GOVERNANCE
We are required by the Charity Commission to upgrade our Articles if our application for charitable status is to be accepted. The New Articles differ from the Old Articles in a number of areas but mainly these differences merely refer to changes in specific legislation. In two areas however the changes are sufficiently significant to merit bringing these to the attention of the membership: the amount of an individual member’s liability in the event that Fire and Water is wound up, and in the minimum numbers of members to be present at a meeting to make it quorate.
The specific paragraphs are reproduced below:
Liability of members
The liability of the members is limited.
Every member promises, if the charity is dissolved while he or she is a member or within twelve months after he or she ceases to be a member, to contribute such sum (not exceeding £1) as may be demanded of him or her towards the payment of the debts and liabilities of the charity incurred before he or she ceases to be a member, and of the costs charges and expenses of winding up, and the adjustment of the rights of the contributors among themselves.
The liability of the members is limited to a sum not exceeding £10, being the amount that each member undertakes to contribute to the assets of the charity in the event of its being wound up while he, she or it is a member or within one year after he, she or it ceases to be a member, for: payment of the charity’s debts and liabilities incurred before he, she or it ceases to be a member; payment of the costs, charges and adjustment of the rights of the contributories among themselves.expenses of winding up;
